The truck industry has been abuzz with speculation about the potential takeover of a European OEM by an Asian group for quite some time. The focus of this speculation has largely been on IVECO, especially following its spin-off from CNH Industrial in 2022.

On July 30, 2025, Tata Motors made a historic announcement with a €3.8 billion ($4.4 billion) all-cash voluntary tender offer to acquire IVECO’s Commercial Vehicle business, excluding its defense division. The completion of this transaction is subject to the sale of IVECO’s defense arm, Iveco Defence Vehicles (IDV), to Leonardo SpA for €1.7 billion ($2.0 billion).

The deal is structured to maintain IVECO’s autonomy, with its headquarters remaining in Turin and its workforce and industrial footprint protected by non-financial covenants. The existing board structure will also remain largely intact with independent oversight.

Once finalized, this acquisition will create a global Commercial Vehicle powerhouse with combined annual revenues of approximately €22 billion ($26 billion) and a production footprint spanning Europe, Asia, and Latin America. GlobalData’s analysis suggests that the merger will position Tata/IVECO as a major player in the global truck market, rivaling TRATON and Volvo Group in terms of market share and production capacity.

The strategic fit between Tata and IVECO is evident in their complementary product portfolios and geographical presence. Tata’s strength in India and Southeast Asia complements IVECO’s presence in Europe and Latin America, with minimal overlap in product lines or manufacturing locations. This geographic diversity sets this merger apart from previous European Heavy-Duty mergers.

Furthermore, Tata stands to benefit from IVECO’s advanced powertrain technologies, including electric, hydrogen, and natural gas platforms, enhancing its sustainability initiatives. The acquisition marks a significant transformation for Tata Motors, elevating it from a regional player to a global OEM with immediate access to key markets and distribution networks.
